The service and who may use it
In plain wordsWe give verified Indian businesses a private Windows server that runs their own TallyPrime. These terms, your order and the policies linked here make up our agreement.
TallyoCloud is the trading name of TallyoCloud, whose registered address is 202, Dev Bhavan, Nehru Place, New Delhi, Delhi 110019. In these terms "we", "us" and "our" mean TallyoCloud. "You" means the business or professional that signs up, and "your users" means the people you authorise to log in. By ticking the box at sign-up, paying an invoice or using the service, you accept these terms for your business, and you confirm that you are at least 18 years old and allowed to act for it.
What we provide
An independent hosting service. We run your own licensed TallyPrime on a private Windows server set up for your business alone, in a secure data centre in India, with its primary site in Mumbai. Your plan includes:
- secure Remote Desktop access through an encrypted gateway with two-factor sign-in;
- Daily automated backups, kept in India with 30-day retention;
- the Microsoft Windows Server and Remote Desktop licences for each named user on your plan;
- help moving your companies, TDL files and printer settings to the server;
- support by WhatsApp, phone and e-mail (Support 7 days a week).
The number of users, the server size, the billing period and the price are set out in your order or quote. If your order and these terms disagree on a commercial detail such as price or user count, the order wins. Our privacy policy, refund and cancellation policy and service level agreement also form part of this agreement.
The devices you connect from
TallyPrime installs only on Windows, so you reach your server over Remote Desktop. Mac, iPhone, iPad, Android and Play Store-enabled Chromebooks use Microsoft's free Windows App; Windows PCs use the built-in Remote Desktop Connection; and Linux uses an RDP client such as Remmina. Some features depend on the app. Microsoft's feature comparison for Windows App shows that printer redirection isn't available on iOS, iPadOS or Android, so on those devices you print by saving a PDF; our guide to printing from Tally on Cloud covers every option. Your devices, apps and internet connection are your responsibility.
Verified customers only
India's CERT-In Directions of 28 April 2022 require cloud and server providers to keep validated records of every customer: name, address and contact numbers, ownership pattern, the purpose and period of hire, the IP addresses allotted or used, and the e-mail address, IP address and time used at sign-up. Providers must keep these records for five years after the service ends. So we verify these details before we create any server, including a trial server.
You agree to give us true details and to tell us when they change. If verification fails, or your details turn out to be false, we may refuse the service or end it. How we protect these records, and what else we collect, is explained in our privacy policy.
Free trials
A free trial lasts 7 days on a private trial server, using Tally Solutions' official trial licence or a rental licence in your company's name. It needs no card and ends on its own: nothing is charged, and it never turns into a paid plan unless you ask for one. If you don't continue, we keep the trial copy only for the short download window stated in your trial-end message, then delete it securely. The steps are on our free trial page.
Your licensing responsibilities
In plain wordsTallyPrime is licensed by Tally Solutions, not by us. You keep a valid licence for your business; we license Windows and Remote Desktop for your users.
Running TallyPrime on a hosted server involves licences from three different companies. This table shows who is responsible for each one.
| What | Who provides it | What it means for you |
|---|---|---|
| TallyPrime licence or rental | You, from Tally Solutions or a Tally partner, in your company's name | Silver suits one user and Gold suits teams. Our TallyPrime price guide lists Tally's current prices. |
| Tally Virtual Users (TVU) | You, from your Tally account | Each remote TallyPrime session uses one. Silver includes 1 and Gold includes 10; extra packs are bought from Tally. |
| TSS (Tally Software Services) | You, from Tally or a Tally partner | Optional for the licence itself, but needed for upgrades and connected services. Rental licences include it. |
| Windows Server and Remote Desktop licences | TallyoCloud | Included in your plan for each named user, which is why every person needs their own login. |
| Remote Desktop apps on your devices | Microsoft, free | Windows App or Remote Desktop Connection. Nothing to buy. |
| Other software on your server | It depends | We load TDLs you are licensed to use. Products such as Microsoft Office need special hosting licences, so ask us first. |
What you agree to
- Keep your licence valid and in your own name. Tally's licensing best practices confirm that you can host your own licence on a cloud platform for your own business use. If your licence or rental lapses, TallyPrime may stop working normally or open in Educational mode, and that isn't a failure of our service.
- One licence, one business. Tally ties each licence to a single legal business entity and treats sharing it with another entity as misuse. Don't let people from another business work on your licence; they need their own.
- Enough Tally Virtual Users. Tally's TVU FAQ counts every TallyPrime instance opened in a remote session. If more people work at once than your TVUs allow, TallyPrime shows a limit message and opens in Educational mode. Buy extra packs in your Tally account before you add users; our Tally Virtual User guide explains the maths.
- Use it mainly where it was bought. Tally requires a licence to be hosted and used in the region it was bought for, for most (75%) of its use. An India licence belongs on our servers in India. If most of your team works abroad, check with Tally about an international licence.
- Licence and data on one server. Tally's TVU FAQ says the licence and the data can't sit on separate virtual machines, so your licence is activated on your own server. You type your Tally.NET password yourself; we never ask for it.
- One login per person. Microsoft requires a Remote Desktop licence for each user who connects to a hosted Windows server, and we license your plan per named user. Sharing one login among several people breaks those terms and blurs your audit trail, so each person gets their own.
Our side of it. We never sell, rent or sub-license TallyPrime, and we never put two customers on one TallyPrime licence. Tally's own terms of use forbid renting or transferring the software to others without reseller rights, and TallyoCloud is an independent host that does not claim Tally partnership. If Tally Solutions or Microsoft asks either of us to show licence compliance, we will help each other with the records we each hold, such as the list of users on your plan.
Rules and acceptable use
In plain wordsUse your server for your business's lawful work. Indian law makes us tell you what isn't allowed, act on lawful orders and remind you of these rules regularly.
Under the Information Technology Act, 2000, a web-hosting provider is an "intermediary". The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (the IT Rules) require intermediaries to publish their rules and a user agreement, tell users what they must not do, and act on complaints and lawful orders. This section is that user agreement. It reflects the IT Rules as last amended with effect from 20 February 2026 (summary by Argus Partners).
Content you must not host or share
You and your users must not host, display, upload, change, publish, transmit, store, update or share any information on our service that:
- belongs to someone else and that you have no right to use;
- is obscene, pornographic or paedophilic, invades another person's privacy (including bodily privacy), insults or harasses anyone on the basis of gender, is racially or ethnically objectionable, or encourages money laundering, gambling or violence between groups;
- is harmful to children;
- infringes a patent, trademark, copyright or other proprietary right;
- deceives people about where a message came from, or knowingly spreads information that is false or misleading;
- impersonates another person, including through synthetically generated or morphed images, audio or video;
- threatens the unity, integrity, defence, security or sovereignty of India, its friendly relations with other countries or public order, incites any cognisable offence or obstructs an investigation;
- contains a virus or other code designed to interrupt, destroy or limit any computer resource;
- breaks any other law in force in India.
Uses that aren't allowed
- Attacks and probing. Scanning or attacking other systems, or trying to reach another customer's server or our management network.
- Misusing the server. Mining cryptocurrency, sending spam or bulk e-mail, phishing, or running public websites, proxies, VPN exit points or game servers.
- Dodging licence controls. Getting around Tally's TVU limits or Microsoft's Remote Desktop licensing in any way.
- Unlicensed software. Installing pirated software, or software that needs a hosting licence we haven't agreed to provide.
- Outsiders on your server. Letting people outside your business use it, or reselling access to it.
- Unrelated heavy use. Using the server for heavy work unrelated to your books, such as storing media libraries, that strains the network or hardware other customers rely on.
Personal data in your books, such as customer, supplier and employee details, is yours to handle lawfully. For that data you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023 and we act as your Data Processor, as our privacy policy explains.
What we do if a rule is broken
We take the least drastic step that solves the problem. First we tell you and ask you to fix it. If needed, we remove or disable access to the specific content, then suspend access while it is fixed, and only for serious or repeated breaches do we end the service. Where a breach involves an offence, we may report it to the authorities, as Indian law requires. As Rule 3(1)(c) now requires, we remind you of these rules at least once every three months, including our right to suspend or end access and to remove content that breaks them.
How we respond to lawful orders and complaints
The IT Rules and the CERT-In Directions set fixed clocks for hosting providers. These are the ones that can affect your server:
On a court order, or a reasoned written notice from an authorised senior government officer, we remove or disable access to the specific unlawful information.
IT Rules, rule 3(1)(d)When someone complains that content shows them nude or in a sexual act, or impersonates them with morphed images, we act on it.
IT Rules, rule 3(2)(b)Complaints that content falls in the prohibited list above are acted on, after we check them.
IT Rules, rule 3(2)(a)We give an authorised government agency the information or help that a lawful written order asks for.
IT Rules, rule 3(1)(j)Reportable incidents, such as a ransomware attack or a data breach, are reported to CERT-In.
CERT-In Directions, 2022Information we remove, and its records, are kept for investigations, or longer if a court or agency lawfully asks.
IT Rules, rule 3(1)(g)We act only on orders that come through proper legal channels, and only on the information each order covers. Where the law allows, we tell you first and share a copy of the order. If you think we acted in error, use the grievance process in clause 11.
Fees, GST and renewals
In plain wordsYou pay in advance for each month, plus GST. Nothing renews without notice, and auto-pay is optional.
Prices and what they cover
Our current prices are on the pricing page and in your quote. Every plan is priced at ₹799 per user per month, the same rate for any number of users, with your private server included. Prices exclude 18% GST, which is shown separately, and every payment comes with a GST invoice. Hosting is generally billed under SAC 998315, so a GST-registered business can usually claim input tax credit on it; please confirm this with your CA.
Your TallyPrime licence or rental, TSS and any extra Tally Virtual User packs are not part of our fees. Tally Solutions or your Tally partner sells and invoices them, and their own refund rules apply to them.
Billing, users and changes
- In advance, every month. All plans are billed monthly, at the start of each month. We don't offer yearly billing.
- Adding and removing users. A new user is billed pro rata for the rest of the current period from the day we create the login. Removing a user takes effect from your next billing period.
- How to pay. UPI, debit or credit card, net banking, or NEFT/RTGS bank transfer. Card payments are taken on the payment gateway's own secure page, so we never see your full card number or CVV.
- Price changes. The price you paid holds for the period you paid for. We tell you about any change before your next renewal, and you can cancel before it applies.
- Billing questions. If a charge looks wrong, tell us. We investigate and refund any amount charged in error.
How renewals work
Auto-pay is never required. If you choose it, the Reserve Bank of India's Digital Payments – E-mandate Framework, 2026 (21 April 2026) protects every recurring debit:
-
Before every renewal
A reminder from us
We remind you by e-mail and WhatsApp before each renewal, with the date and the amount including GST.
-
Once, if you choose auto-pay
You approve an e-mandate
Registering, changing or withdrawing a mandate needs an extra authentication step with your bank or card issuer.
-
At least 24 hours before each debit
Your bank's pre-debit notice
It shows our name, the amount, the debit date, the mandate reference and the reason. You can opt out of that debit or withdraw the mandate.
-
Any debit above ₹15,000
Fresh approval every time
A single auto-debit above ₹15,000 needs fresh authentication, so a monthly bill for a larger team may ask you to confirm each time.
You can also pay each renewal yourself by UPI or bank transfer, and switch auto-pay off at any time from your dashboard, by e-mail or on WhatsApp.
Free trials never convert. We don't ask for card details to start a trial, and a trial never turns into a paid plan without your clear decision. India's Guidelines for Prevention and Regulation of Dark Patterns, 2023 describe both of those practices, the "subscription trap" and "SaaS billing", as dark patterns (Trilegal summary), and we use neither.
If a payment is late
If an invoice is unpaid on its due date, we remind you. If it stays unpaid after our reminders, we may suspend log-ins until it is settled. Suspension doesn't delete anything: your server and backups stay as they are, and access returns once payment clears. We never delete a customer's data over an unpaid invoice without first giving written notice and a chance to download it.
Cancellation and exit
In plain wordsLeaving takes one message. You get your data, your licence goes home with you, and then we delete our copies.
Cancelling should be as easy as signing up, so it is. Send a WhatsApp message, e-mail tallyocloud@gmail.com or use your dashboard. You don't need to call us, give a reason or post a form. Cancelling with us also stops future auto-debits, and you can withdraw the mandate with your bank as well.
-
The day you ask
We confirm in writing
We confirm your cancellation and your last paid day. Your service runs to the end of the month you have paid for, as set out in our refund and cancellation policy.
-
Before your last paid day
You get everything
We hand over a complete final backup of every TallyPrime company and the files your users saved on the server. You can also download backups yourself at any time, not only when you leave.
-
When you're ready
Your licence goes with you
You surrender your TallyPrime licence from our server and reactivate it on your own PC. We can walk you through it on a screen-share.
-
After the exit window
We delete our copies
We keep your server switched off but untouched through the 30-day retention period after your last paid day, in case you need anything else. Then we wipe it securely, and the remaining backups expire on the same cycle.
We don't charge for the standard hand-over of your data. Afterwards we keep only the records the law makes us keep, such as invoices and CERT-In verification records, for the periods our privacy policy lists. Refunds for unused periods are covered by our refund and cancellation policy, and our guide to moving Tally data works in reverse if you are going back to your own PC or to another provider.
When we may suspend or end the service
In plain wordsWe only pause or end your service for a stated reason, we tell you why, and suspension never deletes your data.
We may suspend some or all access for these reasons only:
- Unpaid invoices, after our reminders, as clause 4 describes.
- Security emergencies. If your server is compromised, for example by ransomware or a stolen password, or is attacking other systems, we may isolate it at once to protect your data and other customers, and we tell you straight away.
- Serious breaches of clause 2 or clause 3 that aren't fixed after we ask.
- Lawful orders from a court or an authorised government agency.
- False verification details or fraud.
If we end the service for one of these reasons, the exit steps in clause 5 still apply and you get your data, unless a court order or the law forbids it. If we decide to stop offering the service, or end it for any reason that isn't your fault, we give you advance written notice, hand over your data and refund what you have paid for the unused period.
Your data is yours
In plain wordsEverything on your server belongs to you. We get only the access we need to run it, and nothing more.
You own your TallyPrime companies, ledgers, vouchers and reports, the files your users save and the TDLs you bring. We claim no rights over them. You give us only a limited permission to store, copy, back up and transmit that data so we can run the service, fix problems you report and meet our legal duties. That permission ends when deletion under clause 5 is complete.
- No use of our own. We don't read, analyse, sell, advertise with or train any model on your books.
- Access on the record. Our engineers open your server only for a support request you approve or to deal with an incident, through the same gateway and second factor your users have, and every session is logged.
- Kept in India. Your server and its backups stay in India. Daily automated backups are kept with 30-day retention.
- Confidential both ways. Each of us keeps the other's confidential information private and uses it only for this agreement, unless the law requires disclosure.
- Personal data. For personal data in your books you are the Data Fiduciary and we are your processor; our privacy policy sets out how we handle it, including breach notices.
Keep your own copies too. Backups are a strong safeguard, not a promise that no data can ever be lost. Download a backup whenever you close an important period, and keep TallyVault passwords safe: Tally's TallyVault help warns that a forgotten password can't be recovered, by us or by anyone else. Your duties as a business under company, tax and audit-trail rules stay yours; hosting helps you meet them but doesn't take them over.
Our website, guides and tools remain ours, and using the service doesn't transfer any rights in them to you.
Service levels, support and security
In plain wordsOur uptime, maintenance and support promises are written down. Security is shared: we run the server, you look after your logins.
Our service level agreement sets out our 99.9% uptime commitment, how we measure it, how much notice we give before planned maintenance, how quickly we respond to incidents and the service credits you receive if we miss the target. Those service credits are the agreed remedy for downtime. You can reach support on WhatsApp, by phone on +91 97168 56953 and by e-mail (Support 7 days a week), and our support page has guides for connecting, printing, backups and restores. Once you are verified, we aim to have your server ready within one business day.
We look after the server
- Windows security updates, applied in announced maintenance windows
- The firewall, encrypted gateway and two-factor sign-in
- Backups, restore checks and monitoring
- TallyPrime updates your licence and TSS cover, scheduled with you
- Approved, logged staff access only
You look after your people
- Passwords and second-factor devices for every user
- Telling us promptly when someone leaves, so we remove their login
- TallyPrime user rights and TallyVault passwords
- Your devices, apps and internet connection
- Checking your books and filing returns on time
Outside our control. We aren't responsible for outages in services we don't run, such as your internet connection or devices, Tally's licensing and Tally.NET services, Microsoft's apps, banks, or the GST and e-invoice portals, but we will help you work around them where we can. Every control that protects your server is described on our Tally on Cloud security page.
Trademarks and independence
In plain wordsWe host software made by other companies. We name their products only so you know what works with our service.
TallyoCloud is an independent hosting provider. We are not Tally Solutions, we do not act for it, and TallyoCloud does not claim Tally partnership. We are not affiliated with, sponsored by or endorsed by Tally Solutions, Microsoft, Apple or Google. We use the product names below only to describe what our service works with, and we don't use these companies' logos.
Tally Solutions. Tally, TallyPrime and other Tally product names are trademarks of Tally Solutions Pvt. Ltd. Tally's terms of use make clear that they grant no rights in its trademarks.
Microsoft. Microsoft, Windows, Windows Server and Microsoft Office are trademarks of the Microsoft group of companies, used in line with Microsoft's trademark and brand guidelines.
Apple. Apple, Mac, MacBook, iPhone, iPad, macOS and iPadOS are trademarks of Apple Inc., registered in the U.S. and other countries and regions, as listed in Apple's trademark list.
Google. Google, Android, Chromebook, ChromeOS and Google Play are trademarks of Google LLC, as shown in Google's trademark list.
Others. Linux is the registered trademark of Linus Torvalds in the U.S. and other countries. All other names belong to their owners.
The TallyoCloud name, logo and website content are ours. Please don't use them in a way that suggests we endorse your product or service.
Liability and indemnity
In plain wordsWe stand behind our service, up to a fair limit. You stand behind what you put on your server and how your team uses it.
We provide the service with reasonable skill and care, as described in your order, these terms and the SLA. If we fall short, tell us and we will put it right; for downtime, the SLA's service credits apply.
Limits on liability
- Indirect losses. We aren't liable for indirect or consequential loss, such as lost profit, lost business or harm to goodwill.
- Things outside our control. We aren't liable for losses caused by your licence lapsing; by data your users enter, change or delete; by your devices or internet connection; by services others run; or by events beyond reasonable control, such as natural disasters, war, epidemics, government action or a wide failure of power or telecom networks.
- Overall cap. Our total liability for all claims arising from the service is limited to the hosting fees you paid us in the 12 months before the event that caused the claim.
- What isn't limited. None of these limits applies to fraud, wilful misconduct or gross negligence on our part, or to any liability that Indian law doesn't allow to be limited. Nothing here reduces rights you have as a consumer under the Consumer Protection Act, 2019.
Indemnity
You will make good our losses, costs and reasonable legal fees arising from a third-party claim about content you or your users store on the service, your breach of Tally's or Microsoft's licence terms, or use of the service that breaks clause 3 or the law.
We will do the same for you if a third party claims that the service, as we provide it, infringes their intellectual property rights in India. That promise doesn't cover your content, software you supplied or changes you made.
Whoever wants to rely on an indemnity must tell the other side promptly, let it handle the defence and give reasonable help.
Grievance Officer, disputes and governing law
In plain wordsTell us first and we will fix it fast. If that fails, Indian law and Indian courts decide.
The IT Rules require hosting providers to name a Grievance Officer. Since the 2026 amendment, the officer must acknowledge a complaint within 24 hours and resolve it within 7 days. Ours handles complaints about our service, content on our servers, these terms and privacy requests, and anyone can use it, not only customers.
- Company
- TallyoCloud
- tallyocloud@gmail.com (subject: "Grievance")
- Phone and WhatsApp
- +91 97168 56953
- Post
- 202, Dev Bhavan, Nehru Place, New Delhi, Delhi 110019
- Acknowledged within 24 hours
- Resolved within 7 days
- Free of charge
How disputes are settled
- Talk to us. Most problems are fixed fastest by our support team, through any route on our contact page.
- Write to the Grievance Officer. Explain the problem and what you would like us to do. We acknowledge it within 24 hours and give you a decision within 7 days.
- Appeal or go to court. If you disagree with the Grievance Officer's decision on a complaint under the IT Rules, you can appeal to the Government's Grievance Appellate Committee within 30 days. Other disputes go to the courts named below.
Governing law and courts. These terms are governed by the laws of India. Subject to the Consumer Protection Act, 2019 and any other law that lets you bring a claim elsewhere, the courts at New Delhi, Delhi have exclusive jurisdiction.
Changes to these terms, and general terms
We may update these terms when the law, our service or our prices change. The date at the top of this page shows the current version. If a change materially affects you, we tell customers by e-mail before it takes effect, and you can cancel under clause 5 before then without any penalty. Earlier versions are available on request.
- Language. These terms are written in English. If you would prefer them in Hindi or another language listed in the Eighth Schedule to the Constitution, ask us and we will provide a translation.
- Notices. We send notices to the e-mail address and mobile number on your account. Send yours to tallyocloud@gmail.com.
- Transfer. You may transfer this agreement only with our written consent, for example when your business is sold. We may transfer it to a business that takes over our service on the same terms, after telling you.
- Whole agreement. Your order, these terms and the policies they link to are the whole agreement between us about the service. If a court finds part of these terms unenforceable, the rest still applies, and not enforcing a right straight away doesn't mean we have given it up.
Frequently asked questions
Who is responsible for my TallyPrime licence?
You are. You must hold a valid TallyPrime licence or rental in your company's name, plus enough Tally Virtual Users for everyone who works at the same time, under Tally Solutions' own terms. We provide the private Windows server and the Microsoft Remote Desktop licence for each named user on your plan, and we never share one TallyPrime licence between different customers.
Who owns the data on my server?
You do. We claim no rights over your company data and use it only to run, back up and support your service. You can download a backup at any time. When the service ends, we hand over a complete copy, keep the server untouched through the 30-day retention period after your last paid day, and then delete it securely.
Do subscriptions renew automatically?
Only if you choose auto-pay. We remind you before every renewal with the amount and date, and your bank sends the pre-debit notice RBI requires at least 24 hours before each charge. Any single charge above ₹15,000 needs your fresh approval. Free trials never turn into paid plans by themselves, and you can switch auto-pay off or cancel on WhatsApp, by e-mail or from your dashboard.
Can I cancel at any time?
Yes. Cancel the same way you signed up: a WhatsApp message, an e-mail or a click in your dashboard is enough, with no phone call or reason needed. Every plan is billed monthly and runs to the end of the month you have paid for. Before anything is deleted, we hand over a full copy of your data.
When can TallyoCloud suspend my server?
Only for a stated reason: an invoice still unpaid after our reminders, a server that has been compromised or is attacking other systems, use that breaks these terms or Indian law, or an order from a court or authorised government officer. Suspension stops log-ins but never deletes your data. We tell you why, and we restore access as soon as the problem is fixed.
Which law applies, and where do I complain?
Indian law. Start with our Grievance Officer at tallyocloud@gmail.com, who acknowledges complaints within 24 hours and resolves them within 7 days, as the amended IT Rules require. If you disagree with a decision on an IT Rules complaint, you can appeal to the Government's Grievance Appellate Committee; other disputes go to the courts at New Delhi. Your rights under the Consumer Protection Act, 2019 are unaffected.
Is TallyoCloud part of Tally Solutions or Microsoft?
No. TallyoCloud is an independent hosting provider and does not claim Tally partnership. We host the TallyPrime licence you buy from Tally Solutions or a Tally partner, on a Windows server we run for your business. We are not affiliated with or endorsed by Tally Solutions, Microsoft, Apple or Google, and we use their product names only to describe what our service works with.
These terms cover TallyoCloud's hosting service only. Your TallyPrime licence is governed by Tally Solutions' own terms, and Microsoft's Remote Desktop apps by Microsoft's terms. Common questions about licences, devices and billing are answered on our Tally on Cloud FAQ.
